These terms and conditions apply to the CoPhrase platform and service (hereby referred to as "Service") created by Exa Labs LLC (hereby referred to as "Service Provider").

Upon using the Service, you are automatically agreeing to the following terms. It is strongly advised that you thoroughly read and understand these terms prior to using the Service.

The Service Provider is dedicated to ensuring that the Service is as beneficial and efficient as possible. As such, they reserve the right to modify the Service or charge for their services at any time and for any reason. The Service Provider assures you that any charges for the Service or its services will be clearly communicated to you.

The Service stores and processes personal data that you have provided to the Service Provider in order to provide the Service. It is your responsibility to maintain the security of your account and access to the Service.

Your Customers' Conversations

The Service handles conversations with your customers on your behalf. You are responsible for having a lawful basis to process those conversations, and for disclosing to your customers, where required, that an AI agent may be handling their conversation. The Service Provider is not responsible for legal implications arising from your use of the Service without the notices or consents required in your jurisdiction.

Connected Channels

Connecting a channel authorizes the Service to send and receive messages on your behalf using the credentials you provide. Your use of each channel remains subject to that platform's own terms and policies, and it is your responsibility to comply with them. The Service Provider is not responsible for a platform suspending, rate-limiting, or terminating your account. You may not use the Service to send unsolicited bulk messages or to contact people who have not consented to hear from you where consent is required.

AI-Generated Responses

Agent replies are generated by AI models and may be inaccurate, incomplete, or inappropriate for a given situation. The Service provides controls — including human handoff and reply approval — to keep a person in the loop. You are responsible for how you configure your agent and for the messages it sends on your behalf. The Service is provided on an "AS IS" basis, and the Service Provider does not warrant that agent output will be accurate or fit for a particular purpose.

Agencies and Resale

Where your plan permits it, you may operate the Service under your own brand and resell access to your clients at prices you set. You remain responsible to the Service Provider for your account and for your clients' use of the Service, and for the agreements you make with your clients.

Changes to These Terms and Conditions

The Service Provider may periodically update their Terms and Conditions. Therefore, you are advised to review this page regularly for any changes. The Service Provider will notify you of any changes by posting the new Terms and Conditions on this page.
